Příprava NDA a právní strukturalizace společnosti v souvislosti s plánovanou akvizicí

The ARROWS law firm provided legal advice in connection with a planned company acquisition, where a key component was the preparation of a non-disclosure agreement (NDA).

The NDA is the first document in a transaction whose ultimate goal is the transfer of an ownership interest. We discuss how the transfer itself is carried out in a separate article.

This agreement served to protect confidential information shared between the parties during the acquisition negotiations, particularly with regard to trade secrets and sensitive data.

In addition to negotiating clear confidentiality rules, including defining the obligations of the individual parties and penalties for their breach, the client was provided with legal assistance in analysing the company's existing structure. Based on this analysis, our Prague-based legal team proposed changes leading to the optimisation of the company's management, administration, and the legal protection of its assets.
