Legal support for investment in a company: preparation of termsheet and investment documentation

ARROWS provided comprehensive legal services for the investor's entry into the company, which included the preparation of the termsheet as the basic framework for the investment.

As part of this process, the investor provided funds, with the current shareholder of the company contributing additional funds to the investment. On the basis of the termsheet, we prepared comprehensive investment documentation, including a share purchase agreement (SPA) and a shareholders' agreement (SHA), which governs the relationship between the shareholders and sets out the principles of their cooperation.

The team was led by JUDr. Zuzana Liškařová, head lawyer of the International Centre and an expert in corporate law, mergers and acquisitions, who also specializes in supporting startups and their growth phase. Thanks to her experience with investment transactions and setting up relationships between partners, the entire process was efficient and tailored to the client's specific needs.
