Preparing NDAs and Legal Structuring for Planned Acquisition

The law firm ARROWS provided legal advice in connection with the planned acquisition of a company, with the preparation of a non-disclosure agreement (NDA) being a key component.

This agreement served to protect confidential information shared between the parties during acquisition negotiations, particularly with regard to trade secrets and sensitive data.

In addition to negotiating clear confidentiality rules, including setting out the obligations of individual parties and penalties for their breach, legal assistance was provided to the client in analyzing the existing company structure. Based on this analysis, we proposed changes leading to the optimization of management, administration, and legal protection of the company's assets.
