Acquiring an industrial property through a share deal allows the buyer to take over the company that owns the asset, but also requires a review of its liabilities, contracts and historical risks. ARROWS provided legal support for the transaction, including due diligence and contractual documentation. The case illustrates how warranties, liability and share-transfer terms can be structured to protect the buyer.
