Jakub Dohnal is a solicitor and managing partner at ARROWS. He specialises in company sales, investor equity investments and property transactions — most often representing the owner who is selling a company whose value they have built up over many years and who needs the transaction to be completed on the agreed terms.
Company sales and share deals
He specialises in transactions where it is not the property itself that is being sold, but a stake in the company that owns it — a so-called share deal. He leads due diligence, structures the price including retention fees and earn-outs, drafts representations and warranties, and manages the process from the teaser to closing. In addition to the legal aspects, he keeps the commercial logic of the deal in mind — valuation, negotiating position and timing — and coordinates the accounting, tax and banking advisers on both sides.
Clients typically call on him in two situations: when they want to sell a business but do not know to whom or for how much, or when they already have a buyer and need to ensure that the contract does not reduce the price by a fifth through a retention clause.
In addition to transactions, he specialises in property development and construction projects and the settlement of co-ownership of apartment blocks for investors.
Selected transactions
Under his leadership, ARROWS has represented clients in the sale of retail parks and property development projects to institutional investors, in the acquisition of properties subject to legal disputes, and in investors’ equity investments in family-owned businesses. The firm’s legal services are also utilised by České dráhy, MONETA Money Bank and the Czech Ice Hockey Association.

Co-author of the publication Commercial Contracts (C. H. Beck) on contracting, from negotiation through to the enforcement of claims.
Lecturer at the Faculty of Law, Palacký University in Olomouc. He regularly lectures for the Czech Chamber of Commerce, the Czech Banking Association and the Chamber of Tax Advisers of the Czech Republic. He studied at the law faculties in Berkeley (USA) and Katowice (Poland).
He publishes specialist articles on transactions and property law.

The firm
ARROWS was co-founded by him in 2018, building on his previous legal practice since 2013. Today, the team comprises dozens of solicitors, lawyers, tax advisers and accountants in Prague, Hradec Králové, Olomouc and Ostrava.
The firm is part of the international ETL Global network, which operates in more than 70 countries, and runs its own network, ARROWS International, for cross-border projects. For international transactions, clients have a single lead partner who coordinates the various jurisdictions and local advisers.
Its in-house development team builds internal tools — an online view of lawyers’ escrow accounts, automated document extraction and systems for faster contract reviews. This enables the firm to work on fixed-price terms where the legal profession typically charges by the hour.
