JUDr. Jakub Dohnal, Ph.D., LL.M.

Jakub Dohnal is an attorney-at-law and managing partner of ARROWS. He focuses on company sales, investor entries into private companies and real estate transactions — most often acting for the owner who is selling a business built over many years and needs the deal to close on the agreed terms.

Company sales and share deals

He specialises in transactions where the asset sold is not the property itself but the shares in the company that owns it — the share deal. He runs due diligence, structures the price including escrows, retentions and earn-outs, negotiates representations and warranties and manages the process from teaser to closing. Alongside the legal work he keeps hold of the commercial logic of the deal — valuation, negotiating position and timing — and coordinates the accounting, tax and banking advisers on both sides.

Clients typically call him in two situations: when they want to sell a company and do not know to whom or for how much, or when they already have a buyer and need a contract that does not cut a fifth off the price through retentions.

Beyond transactions he works on development and construction projects and on unwinding co-ownership of residential buildings for investors.

Selected transactions

Under his leadership ARROWS has acted for clients on the sale of retail parks and development projects to institutional investors, on acquisitions of real estate burdened by litigation, and on investor entries into family-owned companies. The firm's clients also include České dráhy (Czech Railways), MONETA Money Bank and the Czech Ice Hockey Association.

Co-author of Obchodní smlouvy (Commercial Contracts, C. H. Beck), covering contracting from negotiation to enforcement of claims.

Lecturer at the Faculty of Law, Palacký University in Olomouc. He speaks regularly for the Czech Chamber of Commerce, the Czech Banking Association and the Chamber of Tax Advisers of the Czech Republic.

He publishes articles on transactions and real estate law.

Education

He studied law at the Faculty of Law of Palacký University in Olomouc and at the law schools of the University of California, Berkeley (USA) and in Katowice (Poland).

Artificial intelligence

ARROWS has its own AI and software development team. For clients it builds solutions that cut legal and, above all, administrative costs. Internally it develops tools such as an online view of attorney escrow accounts, automated document extraction and systems for faster contract review. This is what allows the firm to work for fixed fees where the legal market usually bills by the hour.

The firm

He co-founded ARROWS with the other partners in 2018, building on his previous legal practice. Today the team consists of dozens of attorneys, lawyers, tax advisers and accountants in Prague, Hradec Králové, Olomouc and Ostrava.

The firm is a member of the international ETL Global network, present in more than 70 countries, and runs its own ARROWS International network for cross-border projects. On international transactions the client has a single lead partner who coordinates the individual jurisdictions and local advisers.

Board member of the Association of Motor Vehicle Dealers and Repairers of the Czech Republic and of the Olomouc District Chamber of Commerce. Active in the Czech Chamber of Commerce's expert sections for trade and services, construction and economic policy.
