External Legal Department

Kanzlei

The Prague-based law firm ARROWS acts as an external legal department for companies that do not have their own lawyer, as well as for those whose in-house counsel cannot cover everything alone. Instead of a single person who would have to know everything, you have a team of specialists in labor, commercial, corporate, construction, and IP law, as well as dispute resolution – and one attorney who knows your company and coordinates the work. You call one person, and you get an answer from the specialist who handles that specific area every day.

Why entrust your company's legal agenda to ARROWS?

  • A whole team of specialists instead of a single person. An in-house lawyer is usually a generalist – they cannot simultaneously be an expert on terminations, share transfers, subsidies, and trademarks. With us, every matter is handled by someone who deals with it daily. You do not pay for them to learn the ropes, and you get an answer that will stand up even in a dispute.

  • One attorney who knows your company. You don't have to worry about who handles what. Your contact attorney knows your contracts, people, and plans, involves specialists on their own, and delivers the answer as a single whole. When they are on vacation, you know in advance who will cover for them.

  • Capacity exactly when you need it. An inspection, dispute, acquisition, or reorganization usually comes all at once. One person is not enough – we will reinforce the team for as long as needed and then return to normal operations. You do not pay for capacity you do not currently use.

Turn to us if:

  • You do not have your own lawyer: Legal issues are currently handled by the managing director, HR manager, or accountant – and every contract, termination, or inspection is a bit of a lottery.

  • You have an in-house lawyer but need a specialist: Your lawyer handles the day-to-day agenda, but for a dispute, transaction, inspection, or international matter, they need a partner who works in that specific field daily. We cooperate with them – not instead of them.

  • Your lawyer is overloaded: A sudden spike in workload, long-term absence, or departure from the company – we will take over part of the work so that nothing grinds to a halt.

  • You are dealing with a matter that spans multiple fields: Selling a company with real estate and employees, reorganizing an entire group, or a dispute with a supplier abroad. Specialists from individual fields work on it together.

  • You also do business abroad: Foreign branches, business partners, or employees abroad – we coordinate local lawyers through ARROWS International and the ETL Global network in more than 70 countries.

  • You want one partner instead of five suppliers: One contract, one invoice, and one person who picks up the phone – not a firm you have to bring up to speed every single time.

Are you looking for a lawyer for a single dispute or a single transaction? We have separate services for that: commercial and court disputes and sale of companies and transaction advisory.

Strong background and the trust of market leaders

Behind your attorney stands our Prague-based Czech legal team of more than 40 ARROWS lawyers, offices in Prague, Hradec Králové, Olomouc, and Ostrava, and 30 signing locations across the country. We have managed the legal agenda for more than 2,000 companies and their owners, and our expertise is regularly confirmed by the Law Firm of the Year award. Our long-term clients include, for example, MONETA Money Bank, ARRIVA, ARDON, and Keestrack.

“ARROWS provides Keestrack-CZ with highly professional legal support in resolving complex commercial and operational matters, including international projects. We appreciate the team's expertise, speed of response, and practical, business-oriented approach.” – Pavel Doležel, Managing Director, Keestrack-CZ

Do not let your company's legal agenda depend on whoever happens to have time. Arrange a non-binding meeting – we will review what you are currently dealing with and who is handling it, and propose a cooperation model that fits.

A) Employment Law and HR

Employment law is not something a company deals with once a year, but every week – onboarding, departures, shifts, inspections. That is why we treat it as an ongoing agenda that we manage continuously, rather than a series of individual queries.

  • Employment contracts and internal regulations: Tailor-made templates for your company and their updates with every change in the law.

  • Termination of employment: Terminations, agreements, severance pay, and strategies for disputed departures – before they turn into a lawsuit.

  • Reorganization and collective redundancies: From planning and communication with employee representatives and authorities to the actual implementation.

  • Foreigners and posting of employees: Employee cards, audits of foreign employment, and people working on projects abroad.

More details on this area: employment law.

B) Contracts and Business Relations

The most expensive disputes do not arise in the courtroom, but in a contract that no one really read three years ago. Therefore, we draft and review contracts with regard to how your business actually operates.

  • Terms and conditions and framework agreements: For both purchasing and sales, aligned with your practice and your risks.

  • Contracts with suppliers and customers: Liability for defects, penalties, limitation of liability, and termination conditions.

  • IT and digital contracts: Licensing, SaaS, software development, and data protection.

  • Distribution and foreign partners: Distribution, agency, and service agreements, including choice of law and dispute resolution venue.

C) Corporate Agenda and Transactions

A company needs to function not only externally but also internally: decisions of corporate bodies, relations between shareholders, changes in ownership structure. We make sure that every step is valid and never turns against you.

  • Company operations: General meetings, decisions of managing directors, executive service agreements, and changes in the Commercial Register.

  • Holdings and corporate groups: Setting up structures, relations between parent and subsidiary companies, and intra-group licensing.

  • Sale and purchase of a company: Due diligence, contract negotiation, and transfer of shares or business establishment.

  • Family businesses and succession: Handing over the business to the next generation, trust funds, and family foundations.

D) Audits, Disputes, and Crisis Situations

An inspection, lawsuit, or debt collection usually comes when it is least convenient. However, the outcome is decided earlier – in how the company is prepared and who represents it from day one.

  • Inspections by authorities: Labor Inspectorate, public health office, environmental inspection, financial and customs administration, as well as subsidy audits. We will take over communication and protect your rights.

  • Administrative proceedings and fines: Objections, appeals, and defense against sanctions.

  • Commercial and court disputes: From pre-litigation notices and negotiations to representation before courts of all levels and in arbitration.

  • Debt collection: Reminders, lawsuits, and enforcement – so that a non-paying customer does not jeopardize your cash flow.

E) Real Estate, Intellectual Property, and Data

A company is not just built on people and contracts. It also includes premises, a brand, and customer data – and each of these areas has its own rules that require a different specialist.

How the cooperation works

The scope and method of cooperation depend on how much legal work you have and whether you already have an in-house lawyer. We will agree on the scope and price in advance, with no surprises on the invoice.

  • Ongoing cooperation: For companies with a regular agenda. Contact attorney, priority response, monthly legislative monitoring, and a legal assistant for routine queries.

  • Project capacity: For ad-hoc workloads – reorganization, inspection, acquisition, or seasonal peaks. Draw capacity as needed.

  • Specialist for your in-house lawyer: Consultations and taking over specialized matters. Your lawyer remains the main contact for company management, and we provide them with the specific expertise they currently need.

  • Individual project: For a specific matter or initial cooperation, so you can try our services.

Fast Response Times

  • Routine query (deadlines, claims, what to include in a contract): immediate response from a legal assistant.

  • Query for an attorney: response within 4 working hours, result usually within 2 working days.

  • Standard document (contract, amendment, directive): completed within 48 hours.

  • Crisis situation (inspection at the door, lawsuit, immediate termination of employment): by phone within 60 minutes, solution on the same day.

We are preparing a client portal. Regular clients will see each of their requests there with a number, status, responsible lawyer, and deadline – including when we took it over and when it was completed.

Ongoing cooperation also includes monthly legislative monitoring for the Czech Republic, Europe, and the world. For changes that affect you, your attorney will tell you in advance what to do and by when.

The Path to Cooperation (Our Process)

No lengthy onboarding. We proceed in clear steps so that from the third month onwards, your legal agenda runs smoothly without your supervision.

  • Non-binding meeting: We will review what you are currently dealing with, who is handling it, and where you lack capacity or expertise. You will receive a proposal for the scope of cooperation.

  • Initial audit: Contracts, internal regulations, and corporate documents. The output is a list of risks sorted by impact and a plan of what to fix first.

  • Setup: Contact attorney, a team of specialists for your areas, communication channel, and integration of a legal assistant with your documents.

  • Regular operations: Agenda managed according to agreed response times, monthly monitoring, and regular risk overviews for company management.

Our team combines employment, commercial, corporate, and litigation practice under one roof – therefore, we do not handle your company's legal agenda in pieces, but as a whole that must function in the reality of your business.

Často kladené otázky (FAQ)

1. Is an external legal department more cost-effective than having an in-house lawyer?

It depends on the volume and scope of your agenda. An in-house lawyer means salary, social security contributions, training, and vacation coverage – and they will cover one, at most two areas. With an external department, you pay for actual work done and have specialists at your disposal for all areas your company needs throughout the year.

2. We have our own in-house lawyer. Does cooperation make sense?

Yes, and often it makes the most sense. Your lawyer knows the company best and handles the day-to-day agenda. We will provide them with a specialist for matters they do not deal with daily – a dispute, transaction, inspection, trademark, or foreign law – and support them when the workload increases.

3. How is the price of cooperation determined?

Individually, based on the scope of the agenda and the chosen method of cooperation. You will receive a specific proposal after the first meeting, and always in advance – not with the invoice.

4. Who will be our contact person and what if they are unavailable?

One responsible attorney who knows your company. You will know their deputy in advance, and they will have access to the same documentation. The crisis hotline operates regardless of vacations.

5. How quickly do you respond?

Routine queries immediately, queries for an attorney within 4 working hours, standard documents within 48 hours, and crisis situations by phone within 60 minutes.

6. What about confidentiality when you use AI?

The systems run in the EU, only your team and your lawyers have access, and everything is protected by attorney-client privilege and a data processing agreement. Your documents are not used to train any models. Integration with your systems is always your decision and to the extent you determine.

7. Can you also handle international agendas?

Yes. Where a local lawyer is needed, your attorney coordinates them through ARROWS International and the ETL Global network in more than 70 countries – you still communicate with just one person.

8. What does the transition from our current law firm look like?

We will take over ongoing matters and documentation, and perform an initial audit during the first month. We can usually handle the transition within 30 days without any downtime.

9. Do you have an office near us?

We have offices in Prague, Hradec Králové, Olomouc, and Ostrava, along with 30 signing locations across the country. Most cooperation takes place online; we will come to you for meetings, training, and inspections.

10. How are you insured and who supervises you?

ARROWS law firm is insured for professional liability with a limit of CZK 350,000,000. We are registered with the Czech Bar Association, which is our supervisory authority. Before starting cooperation, we will perform a conflict-of-interest check regarding your business partners and competitors.
